Focus Graphite Closes First Tranche of Non-Brokered Private Placement

Ottawa, ON March 03, 2025 – Focus Graphite Inc. (“Focus” or the “Company”) (TSX-V: FMS; OTCQB: FCSMF; FSE: FKC), announced today the closing of the first tranche of the previously announced non-brokered private placement (the “Offering“) on February 5, 2025, for gross proceeds of up to $500,000. The Company issued 4,650,000 units (the “Units“) at a price of $0.10 per Unit. Each Unit consists of one common share (a “Common Share“) in the capital of the Company and one non-transferable common share purchase warrant (a “Warrant“) of the Company. Each whole Warrant will entitle the holder thereof to acquire one Common Share (a “Warrant Share“) at an exercise price per Warrant Share of $0.20 for a period of 36 months from the date of issue.

The Common Shares, Warrants, Finders Warrants and Warrant Shares will have a hold period of four months and one day until June 29, 2025.

The net proceeds of this financing will be used to maintain the Company’s existing operations and general working capital requirements that includes funding the new strategic direction to advance the battery technology and the development and application of advanced materials.

In addition, Focus Graphite announced that, effective February 24, 2025, it cancelled options to purchase 2,950,000 Common Shares (Shares) of the Company at an exercise price of $1.20 per Share. The options were granted to directors, officers, and consultants on 26 February 2021 and originally expected to expire 26 February 2026.
