Standard Uranium Announces Closing of LIFE Offering

Vancouver, British Columbia, May 19, 2026 — Standard Uranium Ltd. (“Standard Uranium” or the “Company”) (TSX-V: STND) (OTCQB: STTDF) (Frankfurt: FWB:9SU0) has closed its previously announced offering (the “Offering”) under the listed issuer financing exemption under Part 5A of National Instrument 45-106 – Prospectus Exemptions, as amended by CSA Coordinated Blanket Order 45-935 – Exemptions from Certain Conditions of the Listed Issuer Financing Exemption (the “Listed Issuer Financing Exemption”) and has issued 9,000,000 units (each, an “Unit”) at a price of $0.10 per Unit. Each Unit consists of one common share of the Company (a “Share”) and one-half of one common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each Warrant will entitle the holder to acquire an additional common share of the Company at a price of $0.15, commencing on the 61st day after the closing date of the Offering (the “Closing Date”) until 36 months from Closing date. The Warrants are subject to an accelerated expiry if, any time after the date that is 61 days following the Closing Date, the closing price of the common shares of the Company on the TSX Venture Exchange (“TSXV”), or such other market as the common shares may trade from time to time, is or exceeds $0.30 for ten (10) consecutive trading days, in which event the holders of the Warrants may, at the Company’s election, be given notice and the Company will issue a press release announcing that the Warrants will expire five (5) days following the date of such press release. The Warrants may be exercised by the holder of the Warrants during the 5-day period between the date of the press release announcing the accelerated expiry date and the expiration of the Warrants.

Net proceeds raised from the Offering will be used for the exploration of the Company’s Davidson River project and for working capital purposes.

In connection with closing of the Offering, the Company paid a finder’s fee of $54,000 and issued 540,000 non-transferable share purchase warrants (each, a “Finders’ Warrant”) to an arm’s-length party who assisted in introducing subscribers to the Offering. Each Finders’ Warrant is exercisable on the same terms as the Warrants. The Finders’ Warrants are subject to a four month and a day hold period expiring on September 20, 2026. The Offering was conducted in reliance on the Listed Issuer Financing Exemption and, as a result, the Units issued to subscribers in the Offering are not subject to a hold period in accordance with applicable Canadian securities laws.

Standard Uranium’s eastern Athabasca projects comprise over 43,185 hectares of prospective land holdings. The eastern basin projects are highly prospective for unconformity related and/or basement hosted uranium deposits based on historical uranium occurrences, recently identified geophysical anomalies, and location along trend from several high-grade uranium discoveries.

Standard Uranium’s Sun Dog project, in the northwest part of the Athabasca Basin, Saskatchewan, is comprised of nine mineral claims over 19,603 hectares. The Sun Dog project is highly prospective for basement and unconformity hosted uranium deposits yet remains largely untested by sufficient drilling despite its location proximal to uranium discoveries in the area.
